Dear Community Members,
Assalamu’ Alaikum!In accordance with the by-laws of Noor-Ul-Iman School, the Governance Committee is responsible for ongoing review and recommendations to enhance the quality and future viability of the Board of Directors. The Governance Committee determines the composition of the Board - identifying, recruiting, and orienting new directors.
The term of the following three members of the NUI Board of Directors will expire this year:
•Br. Nasir Hasan, Br. Abdulbaset Abdulla, and Sr. Hanady Elhadidy
The Governance Committee is tasked with recommending eligible candidates to the NUI Board of Directors as replacements for the outgoing members. This year NUI Board is specifically looking forward to recruiting candidates with expertise in the fields oflaw, finance, non-profit fundraising, and accounting.The community members of the ISCJ and Noor-Ul-Iman School are requested to indicate their interest in serving on the NUI Board of Directors. All interested community members should send an email [email protected] by Monday, September 15, 2025,and must include a resume indicating your qualifications and a letter stating your interest addressed to the Chair of the Governance Committee.
Structure:The authorized number of Board members shall be a minimum of eleven (11) members, unless changed by amendment of the School’s Bylaws. The members of the Board shall consist of the following composition:
Two (2) members to be nominated by ISCJ;
Nine (9) members to be appointed by the Board of Directors from the larger community with a minimum of six (6) from among the current pool of NUI parents
The Board of Directors shall appoint six (6) Parent Members from among the nominees recommended by the Governance Committee based on candidate qualifications. Board members internally elected from among the current pool of NUI parents shall hold office for three (3) years, with a maximum of two consecutive terms followed by at least one year gap before they can be appointed again. Reappointment for more than two consecutive terms can occur at the discretion of the Board by a 4/5ths majority vote. The terms will be staggered so that each year the Board will solicit nominations for new vacant positions.
Scope of Responsibility:
• Board members are expected to be dedicated to the work of the School and its vision for the future.
• In addition to attending meetings, Board members shall lend their skills, expertise and talents to the School through committees and special projects.
• It is expected that each Board member shall regularly attend Board meetings and serve on at least one committee. Each committee will have at least one Board member on it to act as the liaison to the Board.
• For casting an informed vote, Board members are expected to educate themselves about the School’s history, goals, current operations, fiduciary matters, policies, and concerns.
• Each member of the Board should provide support to the growth of the School.
• It is expected that Board members will come to meetings prepared, having read the minutes of previous meetings and other pertinent materials, and will participate in the discussion of all matters before the Board.
• Board members shall always respect the confidentiality of Board discussions and School information while serving on the Board as well as after leaving active service of the Board.
• A Board member shall never seek to impose a personal agenda on the staff of the School.
•A Board member shall not interfere in the day-to-day operations of the School.
• Board members shall not become involved in disciplinary issues, except as provided for in the NUI Grievance Policy.
• Board members are expected to avoid conflicts of interest, whether business, or personal, or jeopardizing the effective functionality of the Board and the School.
• All Board members must sign a Code of Conduct and disclose any potential conflict(s) of interest prior to reviewing any matter(s) before the Board, whether or not the matter(s) come to a vote.
• Board training for new members is required in accordance with the Governance Committee’s guidelines.
